General sales and delivery conditions of DIXI Cylindre
Field of application
* All sales and deliveries of DIXI Cylindre are submitted to following general sales and delivery conditions. Any other conditions are recognised only if previously agreed in writing by DIXI Cylindre.
Quotations
* All indications and prices remain unbinding up to order confirmation.
Prices
* All prices to be understood net, without VAT, without packing and transport costs. Price modifications by DIXI Cylindre remain reserved.
Quantities
* For technical reasons DIXI Cylindre is authorised to modify ordered quantities up to +/- 10% against corresponding price adjustment.
Delivery terms
* Agreed delivery terms remain indicative and unbinding. DIXI Cylindre is authorised to make partial deliveries at any time. Cancellations and indemnity claims because of delays are excluded.
Deliveries and transports
* Delivery conditions to be understood FCA Le Locle, according to Incoterms 2000. Transport of the goods at buyer's own risks. Any claim for reasons such as carrier failure, administrative dispositions or in case of superior force is excluded.
Order cancellations
* Order cancellations to be addressed in writing to DIXI Cylindre within 8 days upon receipt of order confirmation. Later cancellations involve invoicing of already engaged costs such as raw material, tooling costs, programming and setting time.
Claims
* Eventual claims to be addressed in writing to DIXI Cylindre within 8 days upon receipt of goods. Later claims shall be accepted only for defects which were not perceptible upon receipt of goods in spite of intensive controls, only if the buyer addressed his claim in writing within a week upon discovery of defects but 3 months upon receipt of goods at the latest. Goods having been recognised as defective will be replaced, however DIXI Cylindre retains the right to recover goods without replacing them and to reimburse the price paid. Any other indemnity is excluded.
Payments
* Invoices shall be paid without discount within 30 days upon invoice date. DIXI Cylindre shall invoice delay interests in case of payment failure at falling due. Payment shall not be refused or delayed in case of late delivery. DIXI Cylindre is authorised to suspend delivery or to resign any other contracts in case of non-payment; damages supported by buyer remain reserved.
Ownership reserves
* Delivered goods remain DIXI Cylindre's ownership up to total payment.
Language, applicable law and tribunal
* Decisive language is French. Sales and deliveries of DIXI Cylindre are submitted to Swiss laws. For any legal dispute relative to sales and deliveries of DIXI Cylindre the Tribunal shall be in Le Locle, canton Neuchâtel, Switzerland.
